Terms of Service
1. Acceptance
By accessing or using prability.com/ (the "Site") or engaging PRAbility for consulting, coaching, speaking, or training services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Site or engage our services.
2. Website Purpose
The Site provides information about the PRAbility methodology, executive communication education, keynote speaking, workshops, consulting, crisis communications services, downloadable resources, and webinars. Content on the Site is provided for general informational purposes and does not itself constitute a service engagement.
3. PRAbility Framework
PRAbility™, the PRAbility Method, the Communication Pyramid, and all related frameworks, terminology, and educational content are proprietary to PRAbility. Viewing this content on the Site does not grant any license to teach, license, reproduce, or commercially use the PRAbility methodology; such use requires a separate written license or certification agreement.
4. Consulting
Consulting services are provided pursuant to a separate written agreement specifying scope, deliverables, fees, and timeline. Submitting an inquiry through the Site does not create a consulting relationship; that relationship begins only upon execution of a signed agreement.
5. Executive Coaching
Executive coaching engagements are individualized and are governed by a separate coaching agreement addressing session structure, confidentiality, cancellation policy, and fees. Coaching outcomes depend on many factors specific to the individual and are not guaranteed.
6. Media Training
Media training services, including mock interviews and message-discipline coaching, are provided based on the information and scenarios available at the time of training and are intended to improve communication skill; they do not guarantee any specific media outcome or coverage result.
7. Speaking
Requests submitted for keynote or speaking engagements through the Site are inquiries only. A confirmed engagement, including fee, date, and logistics, requires a separate signed speaking agreement.
8. Downloads
Downloadable resources (including guides, checklists, and templates) are provided for the personal or internal use of the downloading individual or organization and may not be redistributed, resold, or republished without prior written consent from PRAbility.
9. Intellectual Property
All content on the Site — including text, graphics, frameworks, logos, and video — is the property of PRAbility or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.
10. Copyright
All original written, visual, and audio content published on the Site is copyrighted by PRAbility as of its date of publication, whether or not a copyright notice is affixed to a specific page.
11. DMCA
If you believe content on the Site infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act to our designated agent at legal@prability.com, including: identification of the copyrighted work, identification of the allegedly infringing material and its location on the Site, your contact information, a statement of good-faith belief that the use is unauthorized, and a statement made under penalty of perjury that the notice is accurate and that you are authorized to act on behalf of the copyright owner.
12. User Conduct
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit any other person’s use of the Site. Prohibited conduct includes attempting to gain unauthorized access to any part of the Site, transmitting malicious code, and using the Site to harass or transmit unlawful content.
13. Disclaimers
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Educational and framework content is provided for general informational purposes and does not constitute legal, financial, medical, or other professional advice.
14. Limitation of Liability
To the fullest extent permitted by law, PRAbility and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or its content, even if advised of the possibility of such damages.
15. Force Majeure
PRAbility will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disaster, pandemic, government action, labor dispute, or interruption of internet or utility services.
16. Governing Law
These Terms of Service are governed by the laws of the District of Columbia, without regard to its conflict of law principles. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts located in the District of Columbia.
